Having represented both lenders and borrowers, we provide strategic and business-oriented advice to Canadian and international clients on a wide range of financing transactions from equipment leasing to complex debt restructurings.
We advise on all aspects of a company’s operations in a practical and solution-oriented way. From starting a new business, ensuring compliance with corporate governance, conducting strategic planning, acquiring or selling all or part of a business, to carrying out complex corporate reorganizations, we can be there to guide you every step of the way.
Canada's Anti-Spam Legislation (CASL) came into effect July 1, 2014. It is in place to protect Canadians while ensuring that businesses can continue to compete in the global marketplace. If your company uses electronic communications to promote or market your organization, products or services, Canada's anti-spam law will likely affect you. We are experienced in navigating and ensuring that our clients maintain compliance with this relatively new and complex area of law.
We have a wealth of experience advising and assisting creditors with the enforcement of their loans. From informal workouts with borrowers to formal proceedings such as court-appointed receiverships, foreclosures and lawsuits on promissory notes and guarantees, we aim to maximize recovery and minimize losses for our Canadian and international clients.
We advise and support private sector organizations in complying with their obligations under both federal and provincial privacy laws. With experience assisting our clients in developing privacy policies and personal information handling practices to meet strategic business needs and to ensure compliance with privacy legislation, we are well placed to assist you in this evolving area of law.
Our practice covers the entire range of restructuring, insolvency and bankruptcy. We have a wealth of experience acting for creditors, debtors, court-appointed officers, trustees in bankruptcy, and acquirors of assets of insolvent companies in both Canadian and international jurisdictions. We have played significant roles in major Canadian restructurings under the Companies’ Creditors Arrangement Act (CCAA) and have particular expertise in cross-border matters including restructurings and insolvency proceedings in the U.S. and Europe.
In particular, we are able to offer clients a unique approach to the implementation of large-scale projects such as the launch of a new product or service or company-wide initiative. Combining legal project management skills with business know-how and legal knowledge across multiple disciplines, our lawyers work alongside the business team from the outset to identify legal issues and offer solutions as the project unfolds. The end result for the client is a tailor-made product that has been specifically designed to meet its current and future business needs, all without breaking the bank. Having experience as in-house counsel, we aim to avoid the all too familiar scenario of spending a fortune on legal fees only to be presented with a generic, off-the-shelf “solution” that could apply to any company out there.
